ReplyNest Terms of Service
Version: 2026-09-13-en · Effective date: 2026-09-13
1. Parties and scope
These terms are between the business or organization using ReplyNest ("you" or the "Business") and Tianjin Hexi District Lianke Zhiyun Network Technology Co., Ltd. (天津市河西区联客智云网络科技有限公司). Registered address: Room 531, Building 2, Hengsheng Building, east side of Liujiang Road, Hexi District, Tianjin, China. Contact: support@fs.replynest.cn. They cover the website, console, omnichannel support and related technical services.
2. Authority and registration
The person registering must have legal capacity and sufficient authority to accept these terms for the Business. Registration and contact information must remain truthful, accurate and current. We may reasonably request business qualification or authorization evidence.
3. Accounts and members
Accounts are for authorized members only. Business administrators manage invitations, roles and workspace access. The Business must protect passwords, codes, recovery credentials and third-party connection secrets, remove members who no longer need access, and promptly respond to suspected compromise.
4. Services and third-party channels
ReplyNest provides channel integration, conversations, customer records, knowledge, temporary policies, AI suggestions, notifications, operations and billing tools. Current plan snapshots, orders and the console define available features and limits. WeChat, Douyin, TikTok, payment and messaging functions remain subject to their providers' rules, reviews, APIs and availability; ReplyNest does not grant or guarantee third-party access.
5. AI assistance
AI output is a suggestion and may be incomplete, inaccurate or unsuitable. ReplyNest will not automatically send an AI response unless the Business separately enables it and calibrated thresholds, allowed intents, dual evidence, circuit breakers and audit gates are met. The Business is responsible for final messages and commitments. RAG supplies evidence, the Policy Engine decides applicability, and past chats do not automatically become business rules.
6. Business data and lawful use
You retain applicable rights in content lawfully supplied and instruct us to process it only as necessary to provide, maintain and protect the service. You are responsible for lawful data sources, channel authorization, customer notices, marketing outreach and responses. You must not upload data you cannot lawfully process, send spam, infringe rights, bypass platform limits, farm promotions through bulk registration, or use the service unlawfully.
7. Plans, orders and payment
Trials, grants, referral rewards, paid plans and seat, channel, AI or knowledge limits are defined by applicable campaign rules, orders and immutable ledger records. Prices, taxes, billing periods, refunds and invoices will be shown before purchase. We will not enable automatic renewal without separate, explicit confirmation. If introduced later, renewal will include applicable pre-charge notice and an accessible cancellation method.
8. Changes, suspension and termination
We may limit affected functions where reasonably necessary to remediate security issues, comply with law or platform rules, address serious abuse, or handle overdue payment, with an audit trail. We will use reasonable efforts to provide advance notice unless urgent action is needed. You may stop use, export exportable data or request account closure through the available process.
9. Intellectual property and feedback
ReplyNest software, interfaces, marks, documentation and general model-orchestration capabilities belong to us or their respective owners. These terms do not transfer them. Unless agreed otherwise, we may use product feedback that contains no confidential information or personal data without charge.
10. Confidentiality and security
Each party must reasonably protect the other's non-public business, technical and customer information, use it only to perform these terms, and disclose it only where legally required. We use safeguards proportionate to risk, but no internet service can guarantee uninterrupted or risk-free operation.
11. Availability and liability
No unwritten service-level commitment applies during controlled trials. Both parties should reasonably mitigate loss after an incident. Any disclaimer, liability limit or indemnity applies only to the extent allowed by law and does not exclude liability that cannot legally be limited, including relevant intentional or grossly negligent conduct. Any commercial liability cap will be prominently presented in the effective agreement and reasonably tied to paid fees.
12. Changes and notices
The effective terms and material changes will remain accessible and savable. Terms with a material effect on you will be prominently presented and explained where required; pre-ticked acceptance will not replace valid confirmation. Console messages and the registered email may be used for ordinary service notices.
13. Governing law and disputes
These terms are governed by the laws of the People's Republic of China. The parties should first try to resolve disputes in good faith; either party may then bring proceedings before a court with lawful jurisdiction. Mandatory consumer, standard-term or jurisdiction rules prevail where applicable.
14. Version, effect and language
This template is published on the effective date shown above. It becomes binding when a Business expressly accepts the version presented during registration, purchase or another confirmation flow; we retain the accepted version, time and necessary evidence. Publishing this template does not itself open self-service registration. This English version is for convenience; the effective Chinese version governs if there is an inconsistency, to the extent permitted by law.
